The Legal Counsel is required to provide pragmatic, timely and sound commercial legal advice for all areas of the business. If you have a great knowledge of TUPE/Transfers, commercial contracts and ideally come from a small SME then we’d really like to hear from you.
Your responsibilities
· Provide pragmatic and commercial legal advice to the business
· Liaising with business unit Board to manage workload and expectations
· Draft and negotiate customer and supplier contracts
· Draft and negotiate business partner, distributor and sales agency agreements
· Advise on Intellectual Property matters
· Update precedent contracts and terms and conditions as and when required
· Proof read and approve marketing and sales materials
· Project manage matters relating to a contract, for example ensuring Service descriptions, Service Levels, Charges and other commercial, financial and operational matters have been approved by the relevant person in the business, such that obtaining those approvals does not delay signature of a contract or result in the business having to accept any onerous terms
· Advise the business on the interpretation of commercial contracts
· Researching the points of law
· Keeping up to date with changes in relevant law
· Manage instructed solicitors and counsel where required
· Be vigilant for possible fraudulent activity and if necessary raise a security incident report using the template accessible via the corporate Intranet
· Periodically review Security Policies – centrally hosted on the Intranet - to ensure full compliance with current legal, regulatory and company requirements
Knowledge, Skills, Experience
· Qualified solicitor of England and Wales
· Ideally with telecommunications and technology sector experience
· Driving license
· Proficient user of Microsoft Windows, Word, PowerPoint and Excel
· Attention to detail and accuracy are essential
· Excellent written and verbal communication skills
· Able to work autonomously and to handle numerous competing matters at the same time, effectively prioritising those matters and keeping the business updated in the process
· Highly organised
· Must be able to problem solve, identifying pragmatic commercial solutions to meet the requirements of the business
· Excellent interpersonal skills, being able to communicate at all levels of the business
